Acceptance of Terms

Your use of the App constitutes your acceptance of and agreement to be bound by these Terms. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the App for personal, non-commercial use. You agree not to use the App for any other purpose or in any manner not authorized by these Terms.

Google Authentication and Access to Google Drive

To use the App, you are required to authenticate via Google. This means that you will sign in using your Google account. By authenticating with Google, you grant the App permission to access your Google Drive to update the Google Sheet used within the App. The App uses Google's secure authentication process to protect your login information and does not store your Google account credentials.

Restrictions on Use

You agree not to: a. Use the App in any manner that is illegal, fraudulent, or harmful to others; b. Reverse-engineer, decompile, disassemble, or create derivative works based on the App; c. Modify, copy, distribute, sublicense, sell, rent, lease, or otherwise transfer the App or any rights granted under these Terms; d. Remove or alter any copyright, trademark, or other proprietary notices contained in the App; e. Use the App for any commercial purpose or in any manner not authorized by these Terms.

Intellectual Property

All intellectual property rights in and to the App, including but not limited to copyrights, trademarks, and trade secrets, are owned by CRM Toolbox or its licensors. You acknowledge and agree that you have no rights in or to the App except as expressly granted in these Terms.

Termination

We may, in our sole discretion, terminate or suspend your access to the App, without notice or liability, for any reason, including but not limited to your violation of these Terms. Upon termination, all rights and licenses granted to you under these Terms will cease immediately.

Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or completely secure.

Limitation of Liability

In no event will we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the App or these Terms, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages

Changes to These Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page. Changes to the Terms are effective when they are posted on this page. Your continued use of the App after any changes to these Terms constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically for any changes.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of DE, USA, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within DE, USA to resolve any disputes arising out of or relating to your use of the App or these Terms.

Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed in accordance with their terms as if the invalid, illegal, or unenforceable provision was not contained herein.

Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and CRM Toolbox with respect to your use of the App and supersede all prior or contemporaneous understandings, communications, or agreements, whether written or oral, regarding the subject matter of these Terms.
